Corporate Governance refers to the way that an organization’s board oversees the running of a company by its managers, and how board members are held accountable to shareowners and the company. How a company is governed not only affects the relationship of the company with its shareholders but with employees, customers, those financing the company, and other stakeholders including the communities in which the company operates.

Corporate Governance Structure and Policies

OECD Principles of Corporate Governance

The Organization of Economic Cooperation and Development or OECD released its first set of corporate governance principles in 1999 (revised in 2004), which were developed and endorsed by member countries. The aim of these principles is to help OECD and Non-OECD governments create legal and regulatory frameworks for corporate governance in their countries.

Corporate Governance around the World

Various countries have instituted their own corporate governance models. In the US, laws such as Sarbanes Oxley outlines requirements for corporate governance structures while the Turnbull Guidance in the UK sets strict requirements for internal controls. In India, the Securities and Exchange Board of India has established Clause 49, which details how companies should implement corporate governance policies and processes.
